Terms and Conditions of Service

PLEASE READ THESE TERMS AND CONDITIONS CAREFULLY BEFORE USING THE VAULT27 CARD PLATFORM. BY REGISTERING, ACCESSING, OR USING ANY PART OF OUR SERVICES, YOU CONFIRM THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS IN THEIR ENTIRETY. IF YOU DO NOT AGREE, YOU MUST NOT USE THE SERVICE.

Section 1 — Introduction & Acceptance of Terms

These Terms and Conditions (“Terms”) constitute a legally binding agreement between you (“User”, “you”, “your”) and Vault27 Limited, a company incorporated in Costa Rica (Company ID: 3-102-948161, “Vault27”, “we”, “us”, “our”), governing your use of the Vault27 Card platform, including the website at vault27.pro, any associated mobile applications, and all related services (collectively, the “Service” or “Platform”).

By creating an account, purchasing a card, making a deposit, using any card or wallet feature, or participating in the revenue share programme, you represent that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and our Prohibited Activities Policy, each of which is incorporated herein by reference.

Vault27 reserves the right to update, amend, or replace these Terms at any time. Where changes are material, we will notify you via the email address associated with your account or via a prominent notice on the Platform. Your continued use of the Service after any such update constitutes your acceptance of the revised Terms. It is your responsibility to review these Terms periodically.

Section 2 — Definitions

In these Terms, the following definitions apply:
  • “Account” means the user account you create on the Vault27 Card Platform.
  • “Card” means the Vault27 prepaid virtual or physical card issued under the Vault27 Card programme, operating on the Mastercard or Visa network.
  • “Card Balance” means the available funds loaded onto your Card at any given time.
  • “Cardholder” means any person who has been issued and activated a Vault27 Card.
  • “Crypto Assets” means USDT (ERC-20), USDC (ERC-20), APTM, wAPTM, wUSDT, and any other digital assets accepted by the Platform from time to time.
  • “Deposit” means any transfer of Crypto Assets into your Vault27 wallet for the purpose of funding your Card or account.
  • “KYC” means Know Your Customer identity verification procedures.
  • “Platform” means the Vault27 Card website, application, and all associated services.
  • “Prohibited Activities” means activities listed in Section 14 of these Terms and in Vault27’s Prohibited Activities Policy.
  • “Revenue Share Programme” means the nine-level commission structure available to eligible users as described in Section 8.
  • “Top-Up” means the loading of additional funds onto an existing Card from your Vault27 wallet balance.
  • “Transaction” means any card payment, top-up, withdrawal, deposit, transfer, or other financial operation conducted through the Platform.
  • “Withdrawal” means the transfer of funds out of your Vault27 account to an external destination.

Section 3 — Eligibility

To use the Vault27 Card Service, you must meet and continue to meet all of the following eligibility criteria:
  • You must be at least 18 years of age, or such higher age as may be required by the laws of your jurisdiction.
  • You must have full legal capacity to enter into binding contracts under the laws of your jurisdiction.
  • You must not be a resident of, or located in, any jurisdiction in which the use of cryptocurrencyfunded prepaid cards is prohibited, restricted, or requires a licence that Vault27 does not hold.
  • You must not be a national of, or a person subject to sanctions imposed by, the United States, the European Union, the United Nations, or any other applicable sanctions authority.
  • You must not appear on any sanctions list, including but not limited to the OFAC SDN List, the EU Consolidated Sanctions List, or the UN Security Council Consolidated List.
  • You must provide accurate, complete, and current information during registration and at all times thereafter.
  • You must not have been previously suspended or banned from the Vault27 Platform.
Vault27 reserves the right to verify your eligibility at any time and to suspend or terminate your account if eligibility requirements are not met or cease to be met.

Section 4 — Account Registration & Security

4.1 Registration

To access the Vault27 Card Service, you must create an account by providing a username and password. You are responsible for ensuring that all information you provide is accurate, truthful, and kept up to date. Vault27 may require you to complete identity verification (KYC) before a Card is issued or certain features are enabled.

4.2 Account Security

You are solely responsible for maintaining the confidentiality and security of your account credentials, including your username, password, and any two-factor authentication codes. You must:
  • Use a strong, unique password and not share it with any third party.
  • Enable two-factor authentication where available.
  • Immediately notify Vault27 at legal@vault27.pro if you suspect any unauthorised access to or use of your account.
  • Ensure that you log out of your account at the end of each session on shared or public devices.

Vault27 will not be liable for any loss or damage arising from your failure to comply with these security obligations. You will be held responsible for all activity that occurs under your account, including any transactions made before you notify Vault27 of a security breach.

4.3 One Account Per User

Each person may hold only one Vault27 account. Creating multiple accounts for the purpose of exploiting revenue share commissions, bonuses, or any other feature of the Platform constitutes a Prohibited Activity and may result in immediate termination of all associated accounts and forfeiture of all balances.

Section 5 — Identity Verification (KYC & AML)

Vault27 operates a mandatory identity verification programme in compliance with applicable antimoney laundering (AML) and Know Your Customer (KYC) regulations. By using the Service, you consent to and agree to cooperate with the following:
  • Submission of a government-issued photo identification document (passport, national ID card, or driving licence).
  • Completion of a real-time liveness check via selfie or video verification.
  • Automated screening against international sanctions lists, Politically Exposed Persons (PEP) databases, and adverse media sources.
  • Ongoing transaction monitoring throughout the duration of your account relationship with Vault27.
  • Provision of additional documentation or information upon request for enhanced due diligence purposes.
Vault27 reserves the right to refuse to issue a Card, suspend your account, or terminate your account at any time if KYC verification cannot be completed, if information provided is found to be inaccurate or fraudulent, or if ongoing monitoring identifies suspicious activity. Vault27 is not obligated to provide reasons for such decisions to the extent that doing so would compromise legal or regulatory obligations. All KYC data is processed in accordance with our Privacy Policy and applicable data protection laws. Vault27 uses Sumsub as its third-party KYC provider. By submitting your KYC documents, you consent to their processing by Sumsub in accordance with Sumsub’s own terms and policies.

Section 6 — Card Services

6.1 Card Issuance

Subject to successful KYC verification and payment of the Card Purchase fee, Vault27 will issue you a virtual prepaid card (“Card”). Physical cards may be available in certain jurisdictions — availability will be indicated on the Platform at the relevant time.
  • Card Purchase Fee: USD $100.00 per card.
  • Cards operate on the Mastercard or Visa network and are accepted wherever Mastercard or Visa prepaid cards are accepted worldwide, subject to applicable merchant restrictions.
  • Cards are issued in USD and all balances are denominated in USD.
  • Cards are non-transferable and may only be used by the verified account holder to whom they were issued.

6.2 Card Loading & Top-Up

Your Card Balance is funded by transferring Crypto Assets into your Vault27 wallet, which are then converted to USD at the prevailing exchange rate and applied to your Card. The following terms apply:
  • Minimum deposit: USD $150.00 equivalent in supported Crypto Assets.
  • Accepted Crypto Assets: USDT (ERC-20), USDC (ERC-20), APTM, wAPTM, wUSDT. No other assets are accepted.
  • Deposits are credited following confirmed settlement on the applicable blockchain network. Vault27 is not responsible for delays caused by network congestion, blockchain failures, or incorrect wallet addresses provided by the User.
  • Top-Up Fee: 6% of the amount loaded. This fee is deducted at the time of the top-up transaction.
  • Exchange rates applied to crypto-to-USD conversions are determined by Vault27 at the time of conversion and may include a spread. Vault27 does not guarantee any particular exchange rate.

6.3 Card Spending

You may use your Card to make purchases at any merchant that accepts Mastercard or Visa prepaid cards, subject to the following:
  • Transactions are subject to the spending limits applicable to your Card tier as displayed in your account dashboard.
  • Vault27 is not responsible for merchant acceptance or refusal of the Card.
  • Foreign currency transactions will be converted to USD using the applicable card network exchange rate, which may differ from publicly available rates. No additional foreign transaction fee is charged by Vault27 beyond the network rate.
  • Vault27 is not liable for any charges, fines, or consequences arising from the use of the Card at prohibited merchants or for prohibited purposes.

6.4 Withdrawals

You may withdraw funds from your Vault27 account subject to the following terms:
  • Withdrawal Fee: 5% of the withdrawn amount
  • Of the withdrawal fee, 2% is retained by Vault27, 2% is paid to the applicable revenue share partner in your revenue share chain, and 2% is remitted to Vault27’s banking partner.
  • Withdrawals are processed to supported Crypto Asset wallets only. Vault27 does not support fiat bank transfers.
  • Minimum and maximum withdrawal amounts may apply and will be displayed on the Platform.
  • Withdrawal processing times depend on blockchain network conditions and are not guaranteed.

6.5 Card Expiry & Inactive Accounts

Cards are issued with an expiry date as displayed on the card. Upon expiry, any remaining Card Balance will be held in your Vault27 wallet account. Accounts with no activity for a period of 12 consecutive months may be subject to an inactivity review. Vault27 reserves the right to deactivate dormant accounts after providing reasonable notice.

Section 7 — Fees Summary

The following fees apply to the Vault27 Card Service. All fees are in USD unless stated otherwise:
  • Card Purchase: $100.00 per card (one-time, per card issued).
  • Top-Up / Card Load Fee: 6% of the amount loaded.
  • Withdrawal Fee: 5% of the amount withdrawn (split: 2% Vault27, 2% revenue share partner, 1% banking partner).
  • Exchange Rate Spread: Applied at time of crypto-to-USD conversion. Rate disclosed at point of transaction.
  • Card Replacement Fee: As displayed on the Platform at time of request.

Vault27 reserves the right to introduce new fees or modify existing fees upon 30 days’ prior written notice to users via email or Platform notification. Continued use of the Service after the effective date of any fee change constitutes acceptance of the new fee schedule.

Section 8 — Revenue Share Programme

8.1 Overview

Vault27 operates a nine-level revenue share commission programme (“Revenue Share Programme”). By sharing your unique revenue share link, you may earn commissions when users you have connected (directly or through your downline) purchase cards or conduct top-up transactions on the Platform.

8.2 Card Purchase Commissions

Upon a new Cardholder purchasing a card through your revenue share chain, the following commissions are payable:

  • Level 1 (Direct Revenue Share Partner): $25.00
  • Level 2: $12.00
  • Level 3: $9.00
  • Level 4: $5.00
  • Level 5: $3.00
  • Level 6: $3.00
  • Level 7: $3.00
  • Level 8: $2.00
  • Level 9: $2.00
  • Total potential commission per card sale across all levels: $64.00

8.3 Top-Up Commissions

When a user in your revenue share chain completes a top-up transaction, the following percentage commissions are payable based on the top-up amount:

  • Level 1: 1.0%
  • Level 2: 0.3%
  • Level 3: 0.2%
  • Level 4: 0.1%
  • Level 5: 0.1%
  • Level 6: 0.1%
  • Level 7: 0.1%
  • Level 8: 0.05%
  • Level 9: 0.05%
  • Total potential commission across all levels: 2.0%

8.4 Commission Conditions

  • Commissions are credited to your Vault27 wallet in USDT upon successful completion of the qualifying transaction.
  • Commissions are only payable in respect of genuine, verified user transactions. Any commission earned through fraudulent activity, revenue share abuse, multiple accounts, or manipulation of the revenue share system will be forfeited and may result in account termination.
  • Vault27 reserves the right to withhold commission payments pending investigation of suspected abuse.
  • Commission rates are subject to change upon 30 days’ written notice.
  • Vault27 makes no representation or warranty as to the amount of commission any user may earn. Past earnings do not guarantee future results.
  • You are solely responsible for any tax obligations arising from commission income received through the Revenue Share Programme. Vault27 does not provide tax advice.

Section 9 — Cryptocurrency & Blockchain

The Vault27 Card Service operates using cryptocurrency deposits. By using the Service, you acknowledge and agree to the following:
  • Supported assets are limited to USDT (ERC-20), USDC (ERC-20), APTM, wAPTM, and wUSDT. Deposits of any other asset will not be credited and may be permanently lost.
  • You must send deposits to the correct wallet address and on the correct blockchain network as specified in your account. Vault27 is not responsible for funds sent to incorrect addresses or on incorrect networks.
  • Blockchain transactions are irreversible once confirmed. Vault27 cannot reverse, cancel, or recover transactions that have been broadcast to a blockchain network.
  • Crypto Asset values are highly volatile. Vault27 is not liable for any losses arising from fluctuations in the value of Crypto Assets between the time of deposit and the time of conversion to USD.
  • Vault27 does not operate as a custodian of your Crypto Assets beyond what is necessary to process your deposit and load your Card. Vault27 does not guarantee the security of blockchain networks or smart contracts.
  • Minimum deposit amount: USD $150.00 equivalent. Deposits below this threshold will not be processed and may require manual recovery subject to a fee.
  • Vault27 may update the list of supported Crypto Assets at any time. Notice will be provided on the Platform.

Section 10 — Chargebacks & Disputes

10.1 Transaction Disputes

If you believe a transaction on your Card is unauthorised or incorrect, you must notify Vault27 at legal@vault27.pro within 60 days of the transaction date. Vault27 will investigate the dispute in accordance with the applicable card network rules.

10.2 Chargebacks

If you dispute a charge with a merchant and the merchant does not resolve it to your satisfaction, you may initiate a chargeback through Vault27. The following conditions apply:
  • Chargebacks must be requested within 60 days of the transaction posting to your Card.
  • Vault27 will conduct an investigation and may require you to provide supporting documentation.
  • Chargebacks resolved in your favour will be credited to your Card Balance.
  • Vault27 reserves the right to suspend your account if chargeback requests are found to be fraudulent or abusive.

10.3 Merchant Disputes

Vault27 is not responsible for the quality, delivery, or non-delivery of goods or services purchased using your Card. Disputes with merchants regarding products or services must first be raised directly with the merchant before a chargeback is initiated.

Section 11 — Termination & Suspension

11.1 Termination by You

You may close your Vault27 account at any time by contacting legal@vault27.pro. Upon account closure:
  • Any remaining Card Balance will be returned to you in USDT (ERC-20) after deduction of applicable fees, subject to satisfactory completion of any outstanding compliance checks.
  • Any accrued but unpaid revenue share commissions will be forfeited if the account is closed before the minimum payout threshold is reached.
  • Your account data will be retained in accordance with our Privacy Policy and applicable legal requirements.

11.2 Termination or Suspension by Vault27

Vault27 may immediately suspend or terminate your account, with or without prior notice, in any of the following circumstances:
  • Breach of these Terms or any other applicable agreement with Vault27.
  • Engagement in any Prohibited Activity.
  • Failure to complete or pass KYC/AML verification.
  • Provision of false, misleading, or incomplete information.
  • Suspected fraud, money laundering, or other illegal activity.
  • A request or instruction from a regulatory authority, law enforcement agency, banking partner, or card network.
  • Insolvency, bankruptcy, or incapacity.
Upon suspension or termination by Vault27, your access to the Platform will be restricted. Vault27 will hold any remaining balance pending resolution of any outstanding matters, including compliance reviews or legal proceedings.

Section 12 — Privacy & Data Protection

Vault27 collects, processes, and stores personal data in accordance with its Privacy Policy, available at vault27.pro/privacy-policy. By using the Service, you consent to the processing of your personal data as described therein, including:

  • Collection of identity and contact information for account registration and KYC purposes.
  • Processing of transaction data for the operation of the card programme and revenue share system.
  • Sharing of data with KYC providers (Sumsub), banking partners, card networks, and regulatory authorities where required.
  • Retention of data for the periods required by applicable law, including anti-money laundering retention requirements.

You have the right to access, correct, or request deletion of your personal data, subject to legal retention obligations. Please contact legal@vault27.pro for data subject requests.

Section 13 — Intellectual Property

All content, branding, software, technology, and materials on the Vault27 Card Platform, including but not limited to the Vault27 name, logo, card design, website content, and application code, are the exclusive intellectual property of Vault27 Limited or its licensors. You are granted a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform solely for the purposes described in these Terms. You may not:
  • Copy, reproduce, distribute, or create derivative works from any Platform content without express written permission.
  • Use Vault27’s name, brand, or trademarks in any marketing or promotional material without prior written consent.
  • Reverse engineer, decompile, or attempt to extract the source code of any Platform software.
  • Use automated tools, bots, or scrapers to access or extract data from the Platform.

Section 14 — Prohibited Activities

The following activities are strictly prohibited on the Vault27 Card Platform. Engaging in any Prohibited Activity may result in immediate account suspension, termination, forfeiture of balances, and referral to law enforcement authorities:

  • Any activity that violates applicable local, national, or international law or regulation.
  • Money laundering, terrorist financing, or any activity that facilitates the proceeds of crime.
  • Use of the Card or Platform for the purchase of illegal goods or services, including but not limited to narcotics, weapons, counterfeit goods, or child exploitation material.
  • Creating multiple accounts for the purpose of abusing the revenue share programme, earning duplicate commissions, or circumventing account limits.
  • Providing false, inaccurate, or misleading information during registration, KYC, or at any other time.
  • Impersonating any person or entity, or misrepresenting your affiliation with any person or entity.
  • Conducting transactions that are designed to circumvent transaction limits, reporting thresholds, or KYC requirements (structuring).
  • Using the Platform in connection with gambling, adult content, darknet marketplace activity, or
    any other activity designated as high-risk by Vault27’s card network partner.
  • Attempting to gain unauthorised access to the Platform, other user accounts, or Vault27’s systems.
  • Using bots, automated scripts, or other technology to manipulate the Platform or the revenue share programme.
  • Engaging in any activity that could damage, disable, or impair the Platform or its infrastructure.

A full list of prohibited merchant categories and activities is maintained at vault27.pro/prohibited-activities and is updated from time to time. You are responsible for reviewing this policy regularly.

Section 15 — Limitation of Liability

THE FOLLOWING LIMITATIONS APPLY TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS — IN SUCH CASES, THESE LIMITATIONS APPLY TO THE MAXIMUM EXTENT PERMITTED.
The Vault27 Card Service is provided on an “AS IS” and “AS AVAILABLE” basis. Vault27 makes no warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

Vault27 shall not be liable to you or any third party for any of the following:
  • Indirect, incidental, consequential, special, exemplary, or punitive damages of any kind.
  • Loss of profits, revenue, data, goodwill, or business opportunities.
  • Losses arising from cryptocurrency volatility, exchange rate fluctuations, or market movements.
  • Losses caused by blockchain network failures, congestion, forks, smart contract exploits, or thirdparty wallet errors.
  • Losses arising from unauthorised access to your account where you have failed to maintain adequate security.
  • Service interruptions, downtime, or Platform unavailability.
  • Actions of third-party service providers, including banking partners, card networks, or KYC providers.
  • Merchant refusal to accept the Card or reversal of transactions.
In no event shall Vault27’s total aggregate liability to you for all claims arising out of or relating to the Service exceed the total fees you have paid to Vault27 in the six (6) months immediately preceding the event giving rise to the claim.

Section 16 — Indemnification

You agree to indemnify, defend, and hold harmless Vault27 Limited, its officers, directors, employees, agents, contractors, and service providers from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from or related to:
  • Your breach of these Terms or any representation or warranty made herein.
  • Your use or misuse of the Vault27 Card Platform or any Card.
  • Your violation of any applicable law, regulation, or third-party rights.
  • Any Prohibited Activity conducted through your account.
  • Any claim by a third party arising from your use of the revenue share programme or your promotion of the Platform.

Section 17 — Disclaimers

  • Vault27 does not provide financial advice, investment advice, tax advice, or legal advice. Nothing on the Platform constitutes such advice.
  • Vault27 makes no representation that the Service is appropriate or lawful in all jurisdictions. You are responsible for determining whether your use of the Service complies with the laws of your jurisdiction.
  • Vault27 does not guarantee uninterrupted or error-free access to the Platform and reserves the right to carry out maintenance, upgrades, or modifications at any time with or without notice.
  • Participation in the Revenue Share Programme does not guarantee income. Vault27 makes no income representations or earnings claims in connection with the Programme.
  • Vault27 is not responsible for the tax treatment of any transactions, commissions, or crypto asset holdings in any jurisdiction. You are solely responsible for your own tax compliance.

Section 18 — Dispute Resolution & Governing Law

18.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of Costa Rica, without regard to its conflict of law provisions.

18.2 Informal Resolution

Before initiating any formal dispute process, you agree to contact Vault27 at legal@vault27.pro with a written description of your complaint. Vault27 will endeavour to resolve the matter informally within 30 days of receipt of your notice.

18.3 Binding Arbitration

If a dispute cannot be resolved informally, it shall be submitted to final and binding arbitration. Arbitration shall be conducted in accordance with the rules of a recognised international arbitration body agreed upon by the parties, or as determined by the Costa Rica courts. The arbitration shall be conducted in English. The arbitral award shall be final and binding on both parties.

18.4 Class Action Waiver

ALL DISPUTES SHALL BE RESOLVED ON AN INDIVIDUAL BASIS ONLY. YOU EXPRESSLY WAIVE ANY RIGHT TO BRING OR PARTICIPATE IN ANY CLASS ACTION, COLLECTIVE ACTION, OR REPRESENTATIVE PROCEEDING. If this waiver is found to be unenforceable, the arbitration provisions of this Section shall be void.

18.5 Jurisdiction

For any matters not subject to arbitration, you consent to the exclusive jurisdiction of the courts of Costa Rica.

Section 19 — Force Majeure

Vault27 shall not be liable for any delay or failure to perform its obligations under these Terms resulting from causes beyond its reasonable control, including but not limited to acts of God, natural disasters, war, civil unrest, terrorism, government action, epidemic or pandemic, internet or telecommunications failures, power outages, blockchain network failures, regulatory changes, or failures of third-party service providers.

Section 20 — Severability

If any provision of these Terms is found by a court or arbitrator of competent jurisdiction to be invalid, illegal, or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible. The remaining provisions shall continue in full force and effect. If the class action waiver in Section 18 is found unenforceable, the arbitration provisions shall be void in their entirety.

Section 21 — Entire Agreement

These Terms, together with the Vault27 Privacy Policy and Prohibited Activities Policy, constitute the entire agreement between you and Vault27 with respect to the subject matter hereof and supersede all prior or contemporaneous agreements, understandings, representations, and communications, whether written or oral.

Section 22 — Waiver

No failure or delay by Vault27 in exercising any right under these Terms shall constitute a waiver of that right. A waiver of any breach shall not constitute a waiver of any subsequent breach. All waivers must be in writing and signed by an authorised representative of Vault27.

Section 23 — Assignment

You may not assign or transfer any rights or obligations under these Terms without the prior written consent of Vault27. Vault27 may assign or transfer its rights and obligations under these Terms at any time without your consent, including in connection with a merger, acquisition, or sale of all or substantially all of its assets.
